Terms & Conditions

Welcome to the Align Vegan Abundance Partners Circle (the "Circle")! We are thrilled at the possibility of collaborating with you to share the message of vitality, empowerment, connection, stewardship, and sustainable bliss.

This Agreement (the "Agreement") outlines the Terms and Conditions ("Terms") for participation in the Circle, operated by Align Vegan ("Company," "we," "us," "our"). By applying to and participating in the Circle, you (the "Partner," "you," "your") agree to be bound by these Terms. Please read them carefully.

1. Enrollment and Acceptance

  • Application: To enroll, you must submit a completed Abundance Partners application form.

  • Review: We review each application carefully to ensure alignment with Align Vegan's mission, values, and target audience.  

  • Acceptance/Rejection: We reserve the sole right to accept or reject any application for any reason. Submitting an application does not guarantee acceptance into the Circle. You will be notified via email regarding the status of your application.

2. Partner Obligations and Responsibilities

  • Ethical Promotion: You agree to promote Align Vegan's offerings (including, but not limited to, The Alignment Launchpad, The Alignment Circle, Breathwork classes) in a manner that is ethical, authentic, truthful, and fully aligned with Align Vegan's brand values and voice.  

  • Compliance with Laws: You are responsible for ensuring all your promotional activities comply with all applicable laws, regulations, and guidelines, including but not limited to those related to advertising, email marketing (e.g., CAN-SPAM Act), and endorsements.

  • FTC Disclosure: You MUST clearly and conspicuously disclose your affiliate relationship with Align Vegan whenever you promote our offerings using your unique referral methods. This disclosure must comply with the Federal Trade Commission (FTC) guidelines (e.g., using #ad, #sponsored, or clear language like "As an Align Vegan partner, I earn from qualifying purchases"). Failure to comply with disclosure requirements is grounds for immediate termination from the Circle.

  • Promotional Methods: You may promote Align Vegan through your approved website(s), social media channels, email lists, and other methods agreed upon in writing. Prohibited methods include, but are not limited to, spamming, misleading advertising, trademark bidding (on terms like "Align Vegan" or variations thereof), or placing links on sites containing offensive, illegal, or inappropriate content.

  • Brand Representation: You agree to represent Align Vegan positively and accurately. You will not make any false or misleading claims about our offerings or results. You will not disparage Align Vegan or its offerings.

  • Referral Information: You agree to make reasonable efforts to provide your unique referral code or clearly state your name when referring potential clients to facilitate manual tracking.

3. Align Vegan Responsibilities

  • Tracking: We will use our manual tracking system (currently via Google Sheets/Notion) to make reasonable efforts to track referrals originating from your efforts, based on information provided by the referred client (e.g., mentioning your name or unique code). You acknowledge the limitations of manual tracking compared to automated systems.

  • Reporting: We will provide periodic reports (e.g., monthly) summarizing tracked referrals attributed to you and corresponding commission status (e.g., Pending Sale, Ready for Payout, Paid).

  • Commission Payments: We will pay approved commissions according to the terms outlined in Section 4.

  • Support: We will provide access to the "Abundance Swipe Kit" containing promotional materials and offer reasonable support to our Partners.

4. Commission Structure & Payouts

  • Qualified Referral: A "Qualified Referral" is defined as a new client who:

    • Books and attends a clarity call (or directly purchases an applicable offering) after being identified as referred by you (via name/code).

    • Successfully completes payment in full for The Alignment Launchpad.  

    • Is not subject to a refund, chargeback, or cancellation within [Specify Period, e.g., 30 days] of purchase.

  • Commission Rate: The current commission rate(s) for Qualified Referrals are outlined on the Abundance Partner page. We reserve the right to change commission rates with 30 days prior written notice.

  • Manual Approval: Due to our manual payment process for clients, all potential commissions will initially be marked as "Pending Sale." Commissions will only become payable after (a) the client has paid in full, (b) the refund/chargeback period has passed, and (c) we have manually updated the status to "Ready for Payout" in our tracking system.

  • Payment Schedule: Approved commissions will be paid out on a monthly basis, typically within 7 days after the end of the scheduled period.

  • Payout Threshold: A minimum commission balance of $50 must be reached before a payout is processed. Balances below the threshold will roll over to the next payout period.

  • Payment Method: Payouts will be made via Stripe to the account associated with the email address provided in your application, unless otherwise agreed upon in writing. You are responsible for maintaining accurate payout information. Any fees associated with receiving payments are your responsibility.

  • Refunds/Chargebacks: If a referred client receives a refund or initiates a chargeback for a transaction on which a commission has already been paid, the corresponding commission amount will be deducted from your future payouts.

5. Tracking & Reporting (Manual System)

  • You acknowledge that our current tracking relies on manual input based on information provided by referred clients and cross-referenced with your unique code or name.

  • We will make good-faith efforts to accurately attribute referrals, but we are not liable for commissions potentially missed due to clients failing to provide referral information or errors inherent in manual tracking.

  • Access to your referral data will be provided via periodic reports as mentioned in Section 3.

6. Intellectual Property

  • We grant you a non-exclusive, non-transferable, revocable right to use the Align Vegan name, logos, and promotional materials provided in the Abundance Swipe Kit solely for the purpose of promoting our offerings in accordance with these Terms.

  • You may not modify our logos or materials without prior written consent.

  • All intellectual property rights related to Align Vegan, its offerings, and materials remain our exclusive property.

7. Confidentiality

  • You may gain access to confidential information related to Align Vegan's business. You agree to keep such information confidential and not disclose it to any third party without our prior written consent.

8. Term and Termination

  • Term: This Agreement begins upon our acceptance of your application and continues until terminated by either party.

  • Termination by You: You may terminate this Agreement at any time, with or without cause, by providing [Specify Notice Period, e.g., 7 days] written notice to us.

  • Termination by Us: We may terminate this Agreement at any time, with or without cause, by providing [Specify Notice Period, e.g., 7 days] written notice to you. We may terminate immediately if you breach any material term of this Agreement (including, but not limited to, failure to disclose, unethical promotion, or violation of laws).

  • Effect of Termination: Upon termination, you must immediately cease using all Align Vegan intellectual property and promotional materials. Commissions earned and approved ("Ready for Payout") prior to the effective termination date will be paid according to the regular payout schedule, provided you have met the payout threshold. Pending commissions for sales not yet finalized or within the refund period will be forfeited.

9. Limitation of Liability & Disclaimer of Warranties

  • ALIGN VEGAN WILL NOT BE LIABLE FOR INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES (OR ANY LOSS OF REVENUE, PROFITS, OR DATA) ARISING IN CONNECTION WITH THIS AGREEMENT OR THE CIRCLE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER, OUR AGGREGATE LIABILITY ARISING WITH RESPECT TO THIS AGREEMENT AND THE CIRCLE WILL NOT EXCEED THE TOTAL COMMISSIONS PAID OR PAYABLE TO YOU UNDER THIS AGREEMENT.

  • WE MAKE NO EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS WITH RESPECT TO THE CIRCLE OR ANY PRODUCTS SOLD THROUGH THE CIRCLE (INCLUDING, WITHOUT LIMITATION, WARRANTIES OF FITNESS, MERCHANTABILITY, NONINFRINGEMENT, OR ANY IMPLIED WARRANTIES ARISING OUT OF A COURSE OF PERFORMANCE, DEALING, OR TRADE USAGE). WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION OF OUR WEBSITE OR TRACKING SYSTEMS.

10. Indemnification

  • You agree to indemnify, defend, and hold harmless Align Vegan, its owners, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to your participation in the Circle, your promotional activities, or your breach of this Agreement.

11. Relationship of Parties

  • You and Align Vegan are independent contractors. Nothing in this Agreement creates any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You have no authority to make or accept any offers or representations on our behalf.

12. Governing Law

  • This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, USA, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved exclusively in the state or federal courts located in Boulder County, Colorado.

13. Modification

  • We reserve the right to modify any of the terms and conditions contained in this Agreement at any time and in our sole discretion by posting a change notice or a new agreement on our site or by sending notice to your registered email address. Your continued participation in the Circle following such notice will constitute your acceptance of the changes. If any modification is unacceptable to you, your only recourse is to terminate this Agreement.

14. Entire Agreement

  • This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements or communications, whether oral or written.
